1. Services Provided

ViaNova Systems provides CRM, automation, communication, and AI-based solutions designed to help service-based businesses streamline customer interaction through SMS, voice, chatbot, and email workflows.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

2. Client Responsibilities

Clients agree to:

Provide accurate and complete information required to deliver our services.

Use services only for lawful business purposes.

Maintain compliance with local, state, and federal laws, including but not limited to SMS consent laws and data protection regulations.

Ensure their own business communications with end-users are compliant with all applicable regulations (e.g., A2P 10DLC, TCPA, CAN-SPAM, GDPR/CCPA if applicable).

3. Communication Consent

By using our services, clients authorize ViaNova Systems to send communications (including automated texts, voice calls, and emails) on their behalf using assigned business phone numbers.

Clients are responsible for:

Acquiring proper consent from their customers to receive communications.

Honoring opt-out requests, which will be managed via automation (e.g., STOP for SMS).

Ensuring their own customers are made aware of communication practices via their privacy policies.

4. Use Restrictions

You may not:

Resell, sublicense, or white-label our services without written permission.

Use our systems to send spam, fraudulent, misleading, or unlawful content.

Attempt to interfere with the normal operation or security of the platform.

Violation of these terms may result in immediate suspension or termination of services without refund.

5. Fees and Payment

If applicable, clients agree to pay setup fees and recurring monthly charges based on agreed pricing plans.

Invoices are due as specified (usually upon receipt or monthly).

Late or failed payments may result in service interruption.

ViaNova Systems may adjust pricing with 30 days' notice.

6. Refund Policy

All fees paid are non-refundable unless otherwise agreed in writing. If you cancel a subscription, services will remain active until the end of the current billing cycle.

7. Limitation of Liability

To the fullest extent permitted by law, ViaNova Systems shall not be liable for:

Any indirect, incidental, special, or consequential damages

Loss of revenue, profits, business opportunities, or data

Delays or interruptions due to third-party services (e.g., Twilio, Go High Level)

In any event, our total liability shall not exceed the amount paid by the client in the 3 months prior to the event giving rise to the claim.

8. Intellectual Property

All content, workflows, software, and branding created by ViaNova Systems remain our intellectual property unless explicitly transferred under a separate agreement.

Clients retain all rights to their own branding, customer data, and unique business materials.

We may suspend or terminate access to services:

At our discretion with 15 days' written notice

Clients may cancel services at any time with written notice, subject to any minimum term agreements if applicable.

10. Privacy

Use of our services is also governed by our Privacy Policy, which outlines data handling practices and user rights.

11. Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to its conflict of law provisions.

12. Changes to Terms

We may update these Terms periodically. Changes take effect upon posting to our website. Continued use of our services signifies your acceptance of the revised Terms.
